Grant timely access to required platforms (e.g., website hosting, analytics, advertising accounts)

Review and approve deliverables within agreed timelines

Make payments according to agreed billing terms
Delays in access, approvals, or payments may result in project delays or service suspension.
3. Payments & Billing
Unless otherwise stated in writing:

Setup fees are due prior to project commencement

Monthly services are billed in advance
-
Advertising budgets are separate from management fees
-
All fees are non-refundable once services are rendered
Late payments may result in suspension of services and/or late fees.
4. No Guaranteed Results
While Bonsai Marketing applies industry expertise, experience, and best practices, we do not guarantee:

Specific rankings in search engines
-
A certain number of leads or sales
-
Revenue increases
-
Advertising performance metrics
Digital marketing performance depends on numerous external factors beyond our control, including competition, market conditions, platform algorithm changes, and client response times.
5. Intellectual Property
Unless otherwise agreed in writing:

Clients retain ownership of final paid deliverables

Bonsai Marketing retains ownership of proprietary systems, frameworks, templates, automation workflows, and internal methodologies

We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing
Unauthorized reproduction or resale of proprietary systems is prohibited.
6. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary business information shared during the engagement.
Confidential information does not include information that:

Is publicly available

Is independently developed

Is required to be disclosed by law
7. Third-Party Platforms
Our services may involve third-party platforms including but not limited to:

Other advertising or automation platforms
We are not responsible for platform outages, policy changes, account suspensions, or algorithm updates.
Clients are subject to the terms and policies of those platforms.
8. Limitation of Liability
To the fullest extent permitted by law:
Bonsai Marketing shall not be liable for:

Indirect, incidental, special, or consequential damages

Lost profits or business interruption

Platform account suspensions

Client misuse of marketing materials
Our total liability under any agreement shall not exceed the total fees paid to us in the preceding three (3) months.
9. Indemnification
Clients agree to indemnify and hold harmless Bonsai Marketing, its owners, contractors, and affiliates from claims arising out of:

False or misleading content provided by the client

Violation of laws or regulations

Intellectual property infringement from client-provided materials
10. Termination
Either party may terminate services pursuant to the specific agreement in place.
Unless otherwise specified:

Monthly services require 30 days written notice

Setup fees are non-refundable

Work completed prior to termination must be paid in full
Upon termination, access to proprietary systems may be revoked.
11. Website Use
Users of our website agree not to:
